All estimates/quotes are based on our understanding of your requirements and as per given time-frame. Any changes to the functionality including micro-improvements, may incur additional costs accordingly. Please ensure and clarify our understanding in a face to face meeting.

By accepting a quote, you agree to and accept the terms and conditions of Jass Design Group LLC . Acceptance can be verbal, by email, payment of Initiation, signing a quote.

Clients to ensure that we have included all requirements in the quotes/proposals/estimates and that we fully understand their requirements. Clients must provide us with clear guidelines along with the flow or specific details they may require. When such details are not provided, we will proceed with our understanding of the requirements and quote accordingly. At a later stage, if a discrepancy arises, it may lead to additional costs to accommodate the changes. Thus, it is essential that you clarify every aspect of your website development and ensure that you have been quoted on the right requirements.

Any complexity related to specific tasks must be advised in advance and included in the proposal for costing purposes. We operate in good faith and rely on our clients to disclose the full picture at the time of quotation. Any discrepancy arising due to unclear requirements will not be borne by Jass Design Group LLC.

There are limited man-hours allocated to each task including Project Management and Digital Strategist/Business Analyst. Minor changes may be included within the allocated hours. This will be analysed on a case-by-case basis.

Jass Design Group LLC will make every effort to complete the project/changes in the given timeframe. Reasonable delays are accepted if functionalities are redefined or modified.

Any delays at the client’s end, may delay the project and proposed timeframes and may incur additional costs.

Any bugs (programming errors) reported during or just after the development does not attract additional charges.

Any re-work on an already completed task will attract additional charges. Any changes in the design after the design approval will incur additional charges.

Any modifications requested during the development or after the Go-Live approval will incur additional charges. All additional work, over and above the estimates is charged separately. Under no circumstances will Jass Design Group LLC be liable for any delays caused by change in the project brief.

Website/application content and all related materials need to be provided to us within the first two weeks of starting the project. Any delays thereafter may delay the project and may incur additional charges if it goes beyond reasonable timeframe.

Our websites/applications are generally tested on PCs, Android and iOS devices and include near recent versions of following browsers: IE, Edge, Firefox, Chrome & Safari. If you require testing to be done on any other browser, please let us know in advance.

Responsive/multi-device compatible web pages are tested on iPhones, iPads, and Android Phones. If you require testing to be done on any other device, please discuss it in advance.

If your website/application is not hosted on a Jass Design Group LLC server, any additional man-hours that may be required due to any server or network related issues are not covered in our quotes and may be charged separately.

Please note that at any stage during the project, stalling of the project for over two calendar months will incur $85/week administration costs. Furthermore, it may increase the previously approved estimates. If you require the project to be put on hold, please advise us in writing in advance. To put the project on hold without incurring additional charges, we will need the account to be up to date based on the work done. Further details can be discussed if such a situation arises.

Jass Design Group LLC software codes (not including open source software) are copyrights of Jass Design Group LLC. The codes can be handed over at an additional cost for use once all previous invoices are settled, on the condition that the codes are used only for use or modification for re-use for further development for the specified client or subsequent owners of that legal entity. Under no circumstance, the codes will be allowed to be used for re-selling or duplication purposes.

The website or software application will be designed to be deployed on the web, via using a commercial grade web-server or a similar setup. Based on your website traffic, the website may not perform if deployed on a generic office network environment.

Depending upon the functionalities required, there may be 3rd party components such as Third Party Payment Gateways or SSL certificates involved in building a website/application. Although Jass Design Group does its best in recognising the suitability of any such component, any unforeseen limitations of 3rd party components are beyond our control. Any third-party component purchase costs (such as SSL, Payment gateway, Google Adwords, Plug-in licenses etc) are not included in our quotes.

Jass Design Group LLC takes no responsibility of any open source products such as WordPress, Open Source carts, Joomla etc. It is client’s responsibility to update all components and third-party software. We suggest you to take regular back-ups to avoid any disruptions.

Jass Design Group LLC offers packages in co-ordination with third-party providers. Changes to the third-party provider’s rules and policies may ultimately affect the services we provide or the terms and conditions herein.

The client must recognize that at times there may be unforeseen circumstances that will delay the development process, particularly with reference to the integration of third party software. We will try our best to complete the project as agreed in the proposal. As long as it is within a reasonable period, the client agrees not to penalize us for any genuine delay, when every effort to keep the project on the proposed schedule is taken.

Domain registration/renewal etc charges are not included as a part of any project/proposal unless mentioned otherwise. If required, a quote for which will be submitted separately and approved by the client.

Hosting charges are not included in the quotations unless mentioned otherwise. Jass Design Group LLC can organize an appropriate hosting solution if required, a quote for which will be submitted separately and approved by the client. Where clients decide to organise their own hosting, we should be consulted before finalising the type of hosting and database, as it should meet the requirements of the technology used for the development. Please note that we’ll require full access with hosting support for testing and deploying the application. Jass Design Group LLC will not be liable for any delays or errors caused by direct or indirect actions of the hosting company.

Jass Design Group LLC generally builds and tests the websites/applications on our own servers or hosted domains. Jass Design Group cannot give access to their test servers and test websites to the clients or any third party. The website/application can be transferred-off to a nominated 3rd party server upon full payment of all invoices and dues.

 Nothwithstanding any other provision in the agreement, in consideration of the Customer entering into this agreement with Jass Design Group LLC, upon full payment of any outstanding invoices, Jass Design Group will grant an unconditional license to the Customer to reproduce, publish, communicate, use, exploit, vary, or otherwise deal with 1) the graphics, 2) texts and 3) images used in the published website and associated of form and functionality. This will not include the intellectual property relating to the production of the website including the digital strategies, programming codes, database structures, scripts, forms or functionalities.

•All communications/correspondences are generally done via emails. It is the client’s responsibility to keep us updated with their relevant email addresses.

Digital Marketing Package or Digital Strategy Package Terms:
All digital marketing/strategy packages are for a minimum of 3 months period. Thereafter, cancel anytime with clear one month email notice.

They are billed monthly and are payable by the 5th of every month.

Packages are designed with keeping in mind Digital Marketing/Strategy requirements of our clients. There are specific man-hours allocated each month and any unused man-hours are not rolled over to the next month. No third party softwares or marketing expenses are included.

Jass Design Group LLC employs fair use policy, which means that although we don’t formally transfer over any unused time to the next month or formally accumulate unused man-hours, we do understand that your needs may change from month to month, and we allow flexibility in good faith sometimes.

Any extra hours used may be billed separately. Any urgent tasks will be charged separately.

Support requests need to be sent via our Client  Area

Payment terms:
Payable by the 5th of every month. We strongly recommend our clients to have a direct debit set-up for the same.

An administrative fee of $25 will be charged to the client’s account for any late payments or declined credit card charges.

There are absolutely no refunds for any fees related to the digital marketing/strategy package.

Termination:
All digital marketing/strategy packages are for a minimum of 3 months period. Thereafter, cancel anytime with clear one month email notice.

Jass Design Group LLC reserves the right to terminate at any time with written notice to the Client.

Basic Annual Maintenance Package Terms:
All maintenance packages are for a minimum of 12 months period.

Maintenance packages are billed annually, however are paid monthly via direct debit on the 5th of every month.

Packages may include 12 months basic website hosting, email hosting and DNS hosting.

Packages are designed to serve website maintenance tasks only. The hours may not be used for projects such as full redesign or major functionality add-ons.

Does-not include any Digital Strategy, Business Analysis, Solution Architect, SEO and Digital Marketing work.

Work-hours are tracked in 15minutes blocks. The support time is used once every month to take a full backup of your website. After that, we work on updating your CMS and plugin versions along-with any website fixes that may arise as a result of the updates. Any remaining hours can be used to make changes to the website. Any additional work hours are requested for your approval.

Jass Design Group LLC employs fair use policy, which means that although we don’t formally transfer over any unused time to the next month or formally accumulate unused man-hours, we do understand that your needs may change from month to month, and we allow flexibility in good faith sometimes.

Any extra hours used will be billed separately @ $80/hour .

Support requests need to be sent via our Client Area

Any urgent tasks will be charged separately.

The package is auto-renewed every year on its anniversary date.

Payment terms:

Monthly maintenance package fees will be charged to the client’s credit card on file on the 5th day of every month.

An administrative fee of $25 will be charged to the client’s account for any late payments or declined credit card charges.

More than three missed payments in a year may attract termination of the package and the client will need to pay immediately the entire remaining amount on the package.

There are absolutely no refunds for any fees related to the monthly maintenance package.

Termination:
In case Client need to cancel the auto annual renewal, please inform us in writing (email) at least one month prior to the renewal date.

Ongoing term: For any reason, if the Client decides to terminate an on-going maintenance package then they will need to pay the balance amount of the remaining months.

Jass Design Group LLC reserves the right to terminate annual maintenance at any time with written notice to the Client.

For general website design & development projects we employ the following steps:

Upon quote acceptance/signoff, initiation payment is processed to start the project. As required by the project, we may hold a Scoping Workshop to discuss the requirements in detail.

Once we have the brand details such as logo, images, branding materials etc, we will have a mock-up for your review within 5 to 10 working days.

You can review the design and suggest improvements accordingly. Depending upon your project, generally up to 3 to 5 design modifications that can be done within the given estimates. Please refer to your allocated design and development hours for details.

Once design is finalized & approved, we’ll proceed with the HTML development. At this stage we generally need around 3 to 5 banner text and/or images for rotation.

Once, HTML is done, if CMS is included in your project, we will proceed to setup your website on your selected Content Management System (CMS). Please provide all content and copy prior to the development phase.

Depending upon the time and resources allocated to your project, we’ll transfer as much content as possible from the old website to the new website.

Remaining content can be transferred via the CMS by your

designated staff. We can provide the instructions needed to help you do this.
Once the site is ready from our end, we generally hand it over to you for further review, test and/or to upload/change contents as necessary.

At this stage you need to give us a Go-Live date for us to make the new website/project live.

Your website can be made live within 3 to 5 working days of a Go Live approval, assuming that the accounts are clear. Kindly note that we require full payment prior to transferring the website on any external servers.

Kindly note, there are limited man-hours allocated on the project. The estimates for all website under $5000 are based on an assumption that projects will to be completed over eight to twelve working weeks depending upon the size of your project. Any further delays may increase the project management costs. If you do not believe the project to be completed within this time frame, please do let us know prior to starting the project.

Also, generally speaking, going-back and forth takes a lot of time. We encourage you to provide all necessary details, at the start of the project to ensure that the project team’s time is efficiently utilized on your project and you do not incur any unnecessary additional costs.

You will be kept updated via emails and/or telephone calls as the project demands. However, please do not hesitate to contact us any time you require a project status. Also, please always keep us updated with your relevant email addresses/contact details.

Once the website/application has been made live on the client’s domain, it is their responsibility to take regular full backups and to update all components and third party software’s.

We consider ourselves to be very flexible and adaptable and approach all requests with a ‘can do’ attitude. If you require something changed, please feel free to discuss with us. All prices are quoted in United States dollars are inclusive of GST unless specified.

All invoices are to be processed as per the schedule via your preferred method of payment.

Milestone payments must be made within 5 working days of each milestone/schedule, unless mutually agreed otherwise. Final payment must be made prior to website/application/project going live.

Receipt of payment is deemed as acceptance of the quote, milestone, delivery, project and terms & conditions.

Jass Design Group LLC reserves the right to negotiate and refund appropriate portion of the amount paid by customer towards the requested service. If you cancel your order after making the payment, but the work has not commenced, we will refund 75% of the payment that you have already made. If the order is cancelled after the commencement of work, the maximum refund or charge will be 50% of the invoice. There will be no refund or adjustments if cancellation is called when more than 50% of the work has been completed. All cancellations must be received in writing and can be sent via regular mail, email or fax. Telephone requests on cancellations will not be accepted.

For minor or once-off works, payments need to be made either in advance or as per the terms mentioned in the invoice/proposal. If you require any changes to the terms, you must inform us in writing (emails accepted) within two working days of the receipt of the same.

•Late fees and charges: All outstanding invoices will incur a late payment fee of 10% of the pending amount and an administration fee of $10.50 per month, from the due date.

Due date: Is the date on which the payment is due as per the terms on the invoice/proposal

Outstanding Invoice: An invoice is deemed to be outstanding if the payment is still due after 14 days of the expiry of the due date.

Debt Collection: Client is provided a further 7 days after late payment fee is applied to pay the invoice. Failure to pay will result in the outstanding amount referred to a debt collector. Jass Design Group LLC will not be liable for any costs or charges associated with the recovery of the outstanding amount. Any charges associated with the recovery of the outstanding amount (debt collectors, administration charges, legal fees) will be referred to the client for processing.

If you are late with a payment or have any queries regarding the Invoice, please contact Accounts Manager immediately on receiving the invoice or reminder emails.

All communications/correspondences are generally done via emails. It is client’s responsibility to keep us updated with their relevant email addresses.

Any payment relating to the domain name registration renewal or hosting or any 3rd party products or service purchased on behalf of the client will have to be paid in full and is non-refundable. In case of all renewal cancellations, we must be notified atleast 30 days before the renewal date.

Jass Design Group LLC generally builds and tests the websites/applications on our own servers or hosted domains. The website/application will be transferred-off to the nominated 3rd party server upon full payment of all invoices and dues.

If you no longer need a Service you have purchased or are unsatisfied with its performance, you can cancel it at any time. We recommend that cancellation requests are posted through your User Area.

Our Money Back Policy covers initial and renewal Orders for Shared Hosting and Cloud Services and most additional features we offer. For the initial period after an account is activated we will issue a full refund for Shared Hosting Accounts and Services cancelled within 30 days from activation and for Cloud Accounts cancelled within 14 days of activation. For renewal fees we will issue a full refund, if cancellation is requested within 30 days from the date on which we receive payment for renewal and the renewal Term has not started. If the renewal Term has already started, we will refund the renewal fees less the fees due for the first month of the renewal Term. Refunds are processed within ten (10) business days after a Service is cancelled.

Reseller packages are eligible for a refund only if the complete Reseller package is cancelled/terminated within 30 days after your Customer Account is activated. The Money Back Policy does not apply to termination of individual accounts in a Reseller package.

Services that are tailor-made to you are not covered by our Money Back Policy. These include Domain name registrations, Dedicated Server Services, SSL certificates, Paid support services, including Backup Creation and Backup Restore, and third-party Services. In any case, domain name fees are not refundable and may be due upon cancellation even if waived initially as part of a special promotion.

To the maximum extent applicable under national law and without affecting your rights as a Consumer, the Money Back Policy is your sole and exclusive remedy should you decide to withdraw from this Agreement.

In an event of a dispute, Jass Design Group LLC reserves the right to charge the client in full for the work done as well as for the resources spent in managing the dispute. In such an event, Jass Design Group LLC reserves the right to charge the client without honoring any discounts that were previously honored in good faith. Under no circumstances will Jass Design Group LLC be liable for any damages arising from misrepresentation or misinformation.

Jass Design Group LLC reserves the right to refuse service to any client, if these are not aligned with our business operating principles and policies.

Jass Design Group LLC provides its services as is, without any guarantees on security or other issues leading to loss of data, sale or reputation. We ensure to the best of our ability that our systems and servers are protected from hackers, viruses, intruders and other online and offline problems, however we will not be held liable for any disruption of services if such situation arises.

Relationship of Jass Design Group LLC with its suppliers, partners and sub-contractors is of an independent nature. None of the parties have any power, right or authority to interfere or bind the other or assume or create any obligation or responsibility, whether expressed or implied, on behalf of the other or in the other’s name.

Client will indemnify and hold Jass Design Group LLC, its licensors, content providers, service providers, employees, agents, officers, directors, contractors and sub-contractors (the “Indemnified Parties”) harmless from your breach of any of these Terms And Conditions or any other terms, conditions, policies or procedures herein, including, without limitation, any use of content other than as expressly authorized in these Terms and Conditions. Client agrees that the indemnified parties will have no liability in connection with any such breach or unauthorized use, and you agree to indemnify and hold harmless the Indemnified Parties from any and all resulting loss, damages, judgments, awards, costs, expenses, and attorneys’ fees in connection therewith. You will also indemnify and hold the Indemnified Parties harmless from and against any claims brought by third parties arising out of your use of the information obtained from Jass Design Group LLC.

Jass Design Group LLC will not be liable for any breach of the agreement which is caused by a matter beyond its reasonable control including but not limited to Act of God, fire, lightning, explosion, war, disorder, flood, earth quake, industrial disputes (whether or not involving their employees), extremely severe weather, or acts of local or central government or other competent authorities.

Hosting is an annual charge which must be paid in advance for the whole year. Except if the client is under one of our Maintenance packages.

It is the client’s responsibility to renew the hosting in time before the expiry date. Failure to renew in time can lead to loss of files, data, emails, backups etc. All unpaid hostings are disabled or deleted from the server.

All renewals must be paid by seven working days prior to the expiry date. Jass Design Group LLC will not be responsible for issues relating to delayed payment.

Hosting are on shared and non-shared servers hosted via third party providers. Jass Design Group LLC ensures best to our ability that our systems and servers are protected from hackers, viruses, intruders and other online and offline problems, however we will not be held liable for any disruption of services if such situation arises.

Client is solely responsible for the content stored on and served by the hosting service purchased and the activity of any scripts or email services created under the hosting service. The Customer must maintain the security of all account passwords and applications or scripts and ensure all scripts under the hosting service are free from malicious content that may harm any part of the Server, other client accounts hosted, or the external systems of visitors viewing the hosted content.

Incase of a malware attack, Jass Design Group LLC reserves the right to delete files on the hosting service without giving any prior notice.

Cancellation/Termination:
Hosting Cancellation requests must be sent in writing or by email one month prior to the expiry of the same. Once the hosting has been renewed, it cannot be cancelled and must be paid for the full year.

If the hosting is not paid and renewed before the expiry date. We reserve the right to disable the hosting and all associated services including emails and dns records. Additional charges will be applicable to re-enable the hosting. Jass Design Group LLC will not be responsible for any loss of data, files, emails, backups, restoration costs etc.

If a hosting has been cancelled / disabled then all files, emails, databases and backups will be deleted from the server without any notification to the client.

Once all invoices are paid, it is client’s responsibility to request for the files subject to the below:

Emails:
All emails are to be downloaded on the client’s computer periodically. Email boxes must be kept within their quota limits. Periodical maintenance may be carried out on the email box and emails older than 6 months are deleted.

Client’s must not use the email hosting for inappropriate content and other undesired emails which can result in spamming or infecting the server. Under such circumstances, immediate action will be taken and the required files and data will be deleted without any prior notice.

Jass Design Group LLC offer packages in co-ordination with third party providers. Changes to the third party provider’s rules and policies may ultimately effect the services we provide or the terms and conditions herein.

Hosting are on shared and non-shared servers hosted via third party providers. Jass Design Group LLC ensures best to our ability that our systems and servers are protected from hackers, viruses, intruders and other online and offline problems, however we will not be held liable for any disruption of services if such situation arises.

The following Agreement (“Terms” or “Agreement”) applies to your use of domain names registered through or transferred to Jass Design Group LLC (“Jass Design Group,” “us,”, “our” ). This Agreement is an integral part of the Jass Design Group LLC Terms of Service (“TOS”) and together with the Registrant Agreement provided by the respective Registry or Registrar of record, and ICANN’s Uniform Domain Name Dispute Resolution Policy (UDRP) represents the entire Agreement between you and SiteGround with regard to your use of domain names and any domain-related Services.

By purchasing a domain from or transferring a domain to Jass Design Group LLC, you declare that you have read, understood and agree to be bound by these Terms. The terms and conditions of our Registrars can be reviewed at:

Jass Design Group LLC is not responsible for any domain names associated with our Services but not registered through us.

1. Domain Name Registration and Management
1.1. You may apply for a domain name registration by sending an Order for purchase of Services from Jass Design Group LLC. We cannot guarantee that the domain name applied for in your Order will be registered in your name or is capable of being registered by you. You should not rely on the fact that you have submitted an Order to register a domain name until we send you notification that your Order has been accepted and your domain has been registered.

1.2. The registration and ongoing use of a domain name are subject to the relevant naming authority’s terms and conditions of use, which are hereby incorporated by reference. You acknowledge and agree that Jass Design Group LLC bears no responsibility should a naming authority refuse to register a domain name.

1.3. If you register a domain name through or transfer a domain to Jass Design Group LLC, you will be able to manage the domain through a domain management facility in your User Area.

1.4. Domain names and any domain-related services are subject to renewal and termination as set out in the Jass Design Group LLC TOS. Domain registration and renewal fees are non-refundable in any event. The maximum renewal period for different TDLs may vary depending on the respective Registry. Renewal fees for expired domain names may vary depending on the Registrar of record.

2. Registrant Information
2.1. As part of the registration process, you are required to provide certain information to us, and to promptly update this information as needed to keep it current, complete and accurate. We will use this information in accordance with the TOS and our Privacy Policy. The information required in order to process your domain name registration is set out on your Order.

2.2. If you provide information about a third party, you hereby represent that you have provided notice to such third party of and have received their explicit prior consent to the disclosure and use of their information as set forth in the TOS and our Privacy Policy.

2.3. Some Registries require that you confirm your contact information after initial registration and/or after any change or contact details, before a domain name registration is completed or updated. If this applies for your domain, either Jass Design Group LLC or the Registrar of record shall send you an email notification with instructions on how to confirm your details. If you fail to confirm your details within the specified deadline, your domain will be suspended or deleted which will affect the functionality of any Jass Design Group LLC Services associated with that domain. You are solely responsible for following any instructions you receive in order to keep your domain name registration in good standing.

2.4. You acknowledge and agree that upon domain name renewal the type of information you are required to provide may change. If you do not agree to provide the new information, your registration will not be renewed.

2.5. The information you provide determines the ownership of the domain. For non-expired domain names registered through Jass Design Group LLC, and subject to availability and the requirements of the respective Registry, this information may be updated through your User Area.

2.6. You are solely responsible for providing us with accurate and up-to-date contact information. We shall not accept any responsibility for any cancellation or refusal to renew a domain name by the relevant naming authority due to any failure to provide such information. You are responsible for any changes to your domain name contact details made through the Jass Design Group LLC User Area.

2.7. You acknowledge and agree that if you (i) provide inaccurate information; (ii) fail to update contact information promptly; or (iii) fail to respond to Jass Design Group LLCor Registrar inquiries regarding the accuracy of your domain name contact details within any specified timeframe, this shall constitute violation of the Terms and may result in suspension and/or cancellation of your domain name registration.

3. Collection and use of registration information
3.1. By registering a domain name through or transferring a domain to Jass Design Group LLC, you understand and agree that the Registrar of record, relevant Registry or ICANN may establish guidelines, limits and/or requirements regarding what information Jass Design Group LLCmust collect from you in order to provide the Services to you and how we may use such information.

3.2. You acknowledge and agree that Jass Design Group LLC will make available domain name registration information you provide, or that Jass Design Group LLC otherwise maintains, to ICANN, the Registrar of record, the Registry and other third parties as required or permitted by ICANN and applicable laws.

3.3. You hereby give your explicit consent to the collection, use and disclosure of domain name registration information as set out in this Agreement, the TOS, our Privacy Policy. You hereby irrevocably waive any and all claims and causes of action you may have arising from such use or disclosure of information by Jass Design Group LLC.

4. Domain Transfers (Registrar)
4.1. You can change the Registrar of record for an existing domain name in accordance with the transfer policy and requirements of the relevant Registry. Only the individual or entity listed as the registrant in the current domain name registration (“Domain Name Owner”) may initiate a request to transfer the domain to Jass Design Group LLC. By purchasing domain transfer Services from us you hereby represent that you are the Domain Name Owner or that you have been duly authorized by the Domain Name Owner to initiate a transfer.

4.2. The information required to initiate a domain name transfer will be collected on the Order. We may require that you provide additional documentation that proves the ownership of a domain before or after a transfer request is initiated. If the Registrar of record is being changed simultaneously with a trade of a domain name from one party to another, we may also request that you submit appropriate authorization for the transfer – i.e. a bilateral agreement between the parties, a final determination of a binding dispute resolution body, a court order, or other appropriate authorization.

4.3. Upon successful completion of the registrar transfer request, our Registrar shall immediately become the Registrar of record.

4.4. You acknowledge and agree that any domain name transfer is subject to the terms and conditions set out by the respective Registry. Jass Design Group LLC shall not be responsible for transferring domains that do not meet the requirements for transfer of the respective Registry.

5. ID Protect Services
5.1. If set out in your Order, and subject to availability, we will provide private domain name registration services to you (ID Protect). If we provide ID Protect services to you, you acknowledge and agree that the Service is extended to you as provided by the respective Registrar and Jass Design Group LLC shall not be liable if your identity is mistakenly disclosed.

5.2. By purchasing ID Protect Services from us you agree that (i) your use of the Services shall comply with the terms and conditions set out in the TOS; (ii) you are responsible for keeping your domain name contact information accurate and up to date; (ii) you must not use the Services in order to evade any legal, registry, ICANN or other requirement or regulation; (iii) you shall immediately respond to any notice we or the domain name Registrar may forward to you as a result of your use of ID Protect Services.

6. Customer Responsibility. Disputes
6.1. If you purchase domain name Services from Jass Design Group LLC , the domain name shall be associated with your Customer Account and you shall be solely responsible for managing the domain in full compliance with this Agreement and the TOS, even if the domain is registered to or owned by a third party.

6.2. Any dispute between you and any third party regarding a domain name must be resolved between the parties involved. Jass Design Group LLC will neither be a party in a dispute, nor will facilitate dispute resolution. We reserve the right, upon becoming aware of a dispute and at our sole discretion, to either suspend or cancel the domain name, and/or make appropriate representations to the Registrar of record or the relevant Registry. You warrant and represent that to the best of your knowledge and belief, neither the registration of the domain name nor the manner in which it is directly or indirectly used by you and/or any affiliate directly or indirectly infringes the legal rights of a third party. In any case, disputes for the ownership of domain names shall be governed by ICANN’s UDRP which is an integral part of this Agreement.

This Domain Name Agreement is an integral part of the Jass Design Group LLC Terms of Service and may be modified in accordance with the provisions set out in the TOS.

Jass Design Group LLC Service Level Agreement sets out the performance you can expect from us. To the maximum extent applicable under national law and without affecting your rights as a Consumer, this SLA is your sole and exclusive remedy for downtime, or any network, software, hardware or Equipment failure.

We guarantee network uptime of 90.% on an annual base. If we fall below the guaranteed network uptime, we will compensate you as follows:

● 99.9% – 99.00% uptime: 1 month free hosting

● An additional month of free hosting for every 1% of uptime lost below 90.00%.

 You may contact our customer service team if you believe an SLA event has occurred. Compensation is limited to the length of your current Term, but cannot exceed twelve months.

The following events do not count towards our calculation of uptime:

● Scheduled maintenance;

● Emergency maintenance, hardware and software failure remedied under 1 hour;

● Downtime caused by DNS and/or IP address changes for which you have been notified, but you failed to set your configuration;

● Distributed denial of service (DDOS) attacks, hacker attacks, and other similar events;

● Downtime caused by you, your own configuration, or third-party applications you use;

● Downtime caused when you reach the maximum resources allocation for your plan;

● Downtime caused by your violation of these TOS or any other policy announced on our website;

Downtime during upgrade/downgrade of your Cloud or Dedicated Server resources;

● Downtime during processing of your technical support request(s); or

● Force majeure or any event beyond our control.

Our calculation of network availability is based on our internal records. We will not accept third-party reports as evidence that you are entitled to a compensation under this SLA.

You are responsible for the payment of the fee(s) set out on the Order, in the currency specified on the Order (Fees). All fees must be paid in advance for the entire term or renewal term set out on the Order.

The current fee(s) and payment method(s) are listed on our website. Unless a specific agreement for use of the Service(s) exists between Jass Design Group LLC and you, you acknowledge and agree to pay the fee for the respective Service(s) indicated on our website at the time you submit your Order. Jass Design Group reserves the right to change the fees at any time without notification. Changes in fees shall be effective immediately and will apply for you as of your next purchase or renewal.

All Fees listed on our website are net of applicable taxes, unless explicitly stated otherwise. You are responsible for all taxes levied on the Services.

In certain cases, the issuer of your payment method may charge you a foreign transaction fee or other fees, which may be added to the final amount that appears on your bank statement or posted as a separate charge. SiteGround has no control over such fees.

Time for payment is of the essence. Customer’s account(s) will not be activated or renewed until all outstanding fees are paid to Jass Design Group. Domain name registration fees must be paid in full before your domain name registration will be processed.

In the course of the order process, in case of payment by card, you will be asked to provide your card information, which will be verified. By submitting an Order you authorize Jass Design Group LLC to verify your card and charge it for the total amount of your Order. If the issuer of your payment method refuses to authorize the transaction to Jass Design Group LLC, we will not be liable for non-provisioning the Service(s).

In case of payment via PayPal or a similar online payment provider, immediately after submitting your Order you will be directed to the web page of the payment provider, where you will authorize the payment. You acknowledge and agree that the processing of payments will be subject to the terms, conditions and privacy policies of the respective payment processors in addition to this Agreement. Once the transaction is completed, you will be redirected to our website.

You acknowledge and agree that your payment details shall be stored by our payment providers to process payment for any Jass Design Group LLC Service(s) you purchase or renew.

Our obligation to provide the Service(s) depends on your payment of the Fees. It is your responsibility to ensure that we receive timely payment of the Fees.

You are responsible for keeping at least one active payment method on file. We reserve the right to make an alternative payment method primary if we determine that the current one is not active for any reason. You can manage your payment method(s) in the Jass Design Group LLC User Area.

You confirm that any payment method you use and/or add on file is yours or that you have been specifically authorised by the owner of the card to use it for the purchase.

In case of delay in payment of any fees(s) due, for whatever reason, we may continue to attempt to collect payment from the payment method on file, suspend, and/or terminate your Services and pursue the collection costs incurred by Jass Design Group LLC, including without limitation, any court and legal fees and Jass Design Group LLC reasonable attorneys’ fees. We are not responsible for any deleted or lost Customer Content that results from any suspension or termination of the Service(s).

You acknowledge and agree that if your card issuer supports Recurring Billing Programs or Account Updater Services, we may participate in such programs or services. As part of these programs, your card issuer will send our payment processors updated information for your payment method(s) on file and we may automatically charge your new card without prior notification. Participation in such programs does not guarantee that we will receive payment of the fees. It is your responsibility to pay all fees due.

Certain Service(s) may be available to you for free. Such Service(s) may only be used by you during your current Term and may not be transferred to other Hosting Accounts or to third-parties. Upon Termination of your Agreement such Service(s) will also be terminated.

Invoices are due immediately upon receipt. Jass Design Group LLC reserves the right to suspend and/ or terminate the Services until payment is made.

By accepting these TOS, you hereby authorize Jass Design Group LLC to send you invoices electronically at the email address specified in your User Area. 

Should the Services be suspended due to your fault for any reason, Fees will continue to accrue until the termination or expiry of the term of this Agreement.

If you believe there is an error on your invoice, you must immediately contact us in writing. We each agree to work together in good faith to resolve any billing disputes. If you contact your credit card company and initiate a “chargeback” based on this dispute, we may suspend the Service(s) until the dispute is resolved. To reactivate your Service(s), you must first pay all outstanding Fees.

Refund requests are processed as set out in our Money Back Policy. We will apply any refund using the same means of payment as you used for the initial transaction, unless we have expressly agreed otherwise. Jass Design Group LLC is not responsible for delays to refunds caused by processing institutions or expiration of the original payment method.

With your prior consent we may process a refund as credit added to your Customer Account (Jass Design Group Credits) to be used for future purchases and/or renewals of our Service(s). Jass Design Group LLC Wallet amounts can be reimbursed upon your explicit request.

All our Services are by default set to renew automatically, with the exception of Reseller Shared Hosting accounts and upgrades. You can adjust the renewal settings and/or renew Services manually from the Jass Design Group LLC User Area at any time before a Service is terminated.

All available Renewal Terms and the respective Renewal Fees are set out in your User Area. From time-to-time special promotions may be available only for manual renewal of your Services.

We will attempt to renew Services for which automatic renewal is enabled and charge the then current Renewal fee(s):

● five days prior to expiration of the current Term for Cloud and Dedicated Server Services as well as Services on a monthly/quarterly billing cycle;

● fifteen days prior to the expiration of the current Term for all other Services.

If we cannot process a renewal at the scheduled date, we may make additional attempts to charge your payment method(s) until you renew the Service(s) or terminate the Agreement. We will always charge for renewal the primary payment method on file first. Should the primary payment method fail, we will retry billing any other payment methods on file in the order listed in your User Area. We are not responsible for the operation of the Service(s), if Services are suspended/terminated because your payment methods have expired or are no longer valid for any reason.

You acknowledge and agree that even if a Service is set to renew automatically and/or you have an active payment method on file, we might not be able to renew the Services. It is your responsibility to ensure that you have paid the fees and a renewal has been processed.

You acknowledge and agree the Service(s) shall be terminated upon expiry of the term, unless you activate the automatic renewal option or manually renew the term of the Service(s). You agree that Jass Design Group LLC shall not bear any responsibility and liability for any damages whatsoever including, but not limited to, damages for lost profits, cost savings, revenue, business, data or use, or any other pecuniary loss by you or any other third party, if we are unable to charge your payment method on file or you fail to renew the Services manually.

If you are a new customer, upon purchase of our Services we will create a Customer Account for you. Your Customer Account contains your personal details and grants you access to our User Area where you can access, review, update and manage your Services, payments and contact information.

If you purchase Services on behalf of another person or entity, you warrant that you will administer their Customer Account in good faith and in their best interest, and will indemnify us against all losses and liabilities sustained by us should you administer the Account in ways that are adverse to the End User and result in any claim against us.

Login to the User Area requires the use of username and password. You agree not to use the account, profile, username, or password of another user at any time. You will be solely responsible for the security of your login credentials. You shall keep all passwords confidential and take security measures to prevent unauthorized access to them. For security purposes, Jass Design Group LLC highly recommends that you keep different passwords for different Customer Accounts and service providers, refrain from using any functionality that saves or stores your login credentials and regularly update your password.

As an additional security measure, you may set up two-factor authentication (2FA) for your User Area. Follow the instructions in your User Area in order to enable/disable 2FA. If you choose to install and use a 2FA application on a device (e.g. phone or tablet) on which the operating system has been tampered with in any way, you do so at your own risk.

You are solely responsible for the activity that occurs on your Account, regardless of whether the activities are undertaken by you, your employees or a third party, and for keeping your Account password secure. You shall notify Jass Design Group LLC immediately of any breach of security or unauthorized use of your Account to the following email address: privacy@jdg.agency.

You are responsible for providing and maintaining true, current, complete and accurate information. If you fail to do so, we accepts no liability in the event that we grants access to the account to another person.

For avoidance of doubt, the individual or entity whose personal data is listed in the ‘Client’ section of the User Area is considered by us to be the owner of the account (Account Owner). Domain names are owned as set out in applicable ICANN rules. If you purchase a domain name on behalf of a third party, and a dispute arises regarding your administration of that domain name, you agree to pay all registration fees during the time the dispute is pending.

It is your obligation to ensure that you correctly indicate ownership of your account. If there is a dispute about ownership, the account may be locked until the parties to the dispute agree on a resolution, or until the matter is resolved judicially.

The Services provided by Jass Design Group LLC will not comply with the federal Health Insurance Portability and Accountability Act (“HIPAA”), hence Jass Design Group LLC is not HIPAA compliant. You acknowledge and agree that our Services may not be appropriate for the storage or control of access to sensitive data, such as information about children or medical or health information. Customers requiring secure storage of “protected health information” as defined under HIPAA are expressly prohibited from using the Services for such purposes. Storing and permitting access to “protected health information” is a material breach of thеsе TOS, and grounds for immediate termination of the Agreement. Jass Design Group LLC will not sign “Business Associate Agreements” and you acknowledge and agree that we are not a Business Associate or subcontractor of yours pursuant to HIPAA.

All content of this website is a property of Jass Design Group, Inc. unless otherwise specified. Jass Design Group, Inc. reserves the right to change the content or policies without any prior notice.

The project related copyrights can be transferred to the client at an additional cost, after the full payment of the project and upon signing the Certificate of Acceptance. Jass Design Group, Inc. reserves the rights to refuse the transfer of ownership if irregular circumstances arise.

Copyrights handed over to the client do not include rights to re-use the code for another website or re-sell the programming codes for any commercial or non-commercial purposes. In the case of business restructuring or ownership change, ownership of the website may be transferred from one owner to another. New owners are not allowed to re-sell or re-use for any commercial or non-commercial purpose.

In an event of a Webmaster change, site owners are not allowed to display the credits to the new website, unless such time that the website functionality and appearance is changed by over 50% of our original work.

“Jass Design Group” is a trademark of Jass Design Group, Inc., Clients, Partners, Suppliers, Sub-contractors and any other 3rd party organization or individual are not allowed to use Jass Design Group trademarks including the name, logo, and symbol in any way shape or form without written permission from us.

Jass Design Group LLC may modify these TOS at any time with immediate effect. We will inform you about modifications to the TOS by email and via notices in your User Area. SiteGround shall not be liable for your failure to receive an email notification due to an inaccurate email address.

If you do not agree to the changes in the TOS, you must suspend use of the Services and terminate this Agreement within ten (10) business days of receiving notification from us.

To the extent permitted by applicable law, continued use of the Services after you have received a notice for changes to the TOS will be considered as acceptance of such changes and in force in the agreement between the user and Jass Design Group LLC , unless you have sent us a termination notice.

Where the change in Terms is required by law or related to the addition of a new service, extra functionality to the existing Service(s) or any other change which neither reduces your rights nor increases your responsibilities, the TOS will be changed without prior notice to you and shall have immediate effect.

No clarification or explanation of the Terms provided by the Parties will have the power to modify the provisions of these TOS.
